Mergers and aquisitions
The partners of the Firm have been involved in a number of international and domestic transactions in a wide spectrum of business including engineering and construction, banking and financial institutions, energy, media, telecommunications, chemical sectors. We assist in legal due diligence of acquisition targets, drafting and negotiating transaction documents, restructuring of businesses, preparing required filings including with the Polish Anti-Monopoly authorities.
Capital markets and securities
The partners of the Firm have been involved in numerous capital market transactions. Clients can benefit from our extensive experience and capabilities in equity offerings, debt offerings and investment funds. We regularly assist in preparation of prospectuses, acquisitions of major stakes in listed companies and we represent clients before the Polish Securities Commission.
Corporate
Stolarek and Grabalski have a wide expertise in advising companies and their shareholders (domestic and international) on corporate affairs. We offer assistance in setting up businesses and legal advice in all types of contracts relating to their operations and expansion. We regularly represent clients in proceedings before National Court Register. We are experts with extensive experience in corporate restructuring, transformations and mergers and de-mergers. Our corporate partner Ms. Agnieszka Duda was named in 2002 by Legal 500 one of the renowned experts in corporate law.
Tax
The core of our tax practice concentrates on advising on structures aiming at optimizing fiscal implications for all types of relationships such as relations between business entities, intra-group cooperation and relations involving top management as well as with respect to all types of business transactions. We successfully represent clients in administrative and court proceedings with respect to tax issues. The firm tax partner Mr. Michal Stolarek won a PLN 180 million tax case, the biggest tax case ever won in Poland and is among the highest recommended tax lawyers in Poland according to Global Chambers and International Tax Review. Stolarek & Grabalski also offers tax due diligence assistance both as part of day–to-day operations as well as with regard to acquisition transactions.
Real estate
We advise on wide range of real estate transactions and development projects. Thanks to our in-house counsel experience of our commercial partner in one of the top international construction and residential development companies we have deep experience in such aspects of development and construction projects like construction law requirements, relations with public and financing authorities and complex construction contracts. We offer due diligence of real estate and assistance in restitution of the ownership rights to the real estate. We also advise and assist in execution of rights related to the performance of FIDIC contracts. A significant part of our practice involves contracts of lease, disposal and creation of encumbrances.
Media and telecommunications law
Our partners have assisted in numerous transactions involving key deals in the telecommunications and media markets. Examples of the projects in which we have been involved in include acquisitions of national incumbent operators, cable tv networks and leading Polish radio stations, creation of the first satellite television operator in Poland and its merger with the European leader, creation of satellite telephony operator, acquisition of internet services providers, formation of media joint ventures, launching of new products by publishing firms. We therefore have unique experience in advising in matters related to investments in media and telecommunications sectors.
Labour and litigation
We assist in all matters related to employment of key personnel and management. We advise on structuring of legal frameworks of employment of personnel as well as on company internal documents including by-laws and corporate policies and plans.
